Acceptance: dedicated checkbox, when the first community is created
Language and prevailing version
These Creator Terms were originally drafted in Portuguese for the Brazilian market. This English version is provided so that English-speaking creators and partners can read the same terms, and it reproduces the Portuguese text in full, with the same section numbering.
The Portuguese version remains the governing version. These Terms are governed by and interpreted under Brazilian law, and in the event of any divergence, conflict or doubt as to interpretation between the two versions, the Portuguese text prevails. The acceptance recorded on the platform is acceptance of the Portuguese text.
These Creator Terms govern the relationship between Triboo and anyone who creates, administers or operates a community on the platform. They complement the Terms of Use and the Privacy Policy, which remain fully applicable.
Where there is a conflict about a specific point in the operation of a community, these Creator Terms prevail.
Separate acceptance
These Terms are accepted at their own moment, when the first community is created, through a checkbox that is not pre-checked, with the version, date, time and user recorded. They are not covered by the sign-up acceptance.
1. Who can be a creator
To create and operate a community, the creator must:
- be 18 or over and legally capable of entering into contracts;
- provide true, complete and up-to-date information about their identity and their activity;
- keep a valid registration with the payment provider, when the community is paid;
- meet the identity verification, KYC, business registration and compliance requirements requested by Triboo or by the payment provider.
Triboo may refuse, suspend or terminate creator access where there is inconsistent registration data, fraud, a security risk, a legal violation or a failure in the payment provider's checks.
2. The creator's role and Triboo's role
Triboo provides technology infrastructure, access control, content tools, community, events, management features and integration with the payment provider.
In paid communities, the creator is the supplier of the offer towards the member. It is the creator who defines the proposition, the content, the price, the benefits, the frequency, the internal rules and the delivery, and it is the creator who answers for that relationship.
Triboo does not create, pre-vet or endorse the content published by the creator, and is not a party to the contract between creator and member, without prejudice to Triboo's own liabilities under the law.
Independent parties. The creator purchases Triboo's services and does not become Triboo's employee, partner, representative, agent or associate. There is no employment, corporate, representation or agency relationship between the parties, and no exclusivity: the creator may use other platforms, and Triboo may serve other creators. The creator acts in their own name and may not present themselves as Triboo's representative.
3. Offer, delivery and communication with members
The creator is responsible for:
- describing the offer truthfully, clearly, accurately and in an up-to-date way, in Portuguese, including what is and is not included;
- stating the price, the frequency, how renewal works, how to cancel, the access period, limitations and requirements before the purchase;
- when offering instalments with interest, stating the interest rate, any additional charges and the total amount payable;
- delivering the content, lessons, events, support and benefits promised, within the announced timeframes and conditions;
- keeping a contact channel accessible to members and answering requests for information, questions, complaints, suspension or cancellation within 5 (five) days;
- giving advance notice of any relevant change to the delivery or the frequency;
- when changing the price of a subscription, notifying members at least 30 (thirty) days in advance, applying the new price only from the first renewal after that period, and allowing cancellation without penalty before it;
- not making misleading promises, unfounded guarantees of results, abusive pressure or leaving out information about what the member is buying;
- using only real and representative testimonials and results, and using members' posts, testimonials, screenshots or results in promotion only with the member's authorization or in a way that does not allow the member to be identified.
Advertising, sales pages and promotional material for the community are the creator's responsibility and must comply with the Brazilian Consumer Protection Code (CDC) and all other applicable rules.
How communities charge. In V1, paid communities can only charge by monthly subscription. One-time payments and subscriptions with a billing period longer than a month are not allowed. Courses and other community content are part of the monthly subscription and may not be sold separately as a one-time payment.
Creator identification. As required by e-commerce law, the creator authorizes Triboo to display, on the offer page of their paid communities, their name or company name, individual or company tax ID (CPF or CNPJ), address and contact channel, and must keep them up to date.
Target audience and minimum age. Triboo V1 is intended exclusively for people aged 18 or over. The creator may not target their community, their offer or their advertising at children or adolescents, nor knowingly admit members below the minimum age. Where the community's subject mainly attracts adolescents — such as university entrance or ENEM exam preparation, or games — the creator must make clear in all communications that it is exclusively for people aged 18 or over. On identifying a member who is a minor, the creator must notify Triboo through the channel listed in section 22.
4. Internal community rules
The creator may set their own rules on conduct, participation, moderation and access, provided they do not conflict with the law, the Terms of Use, the Privacy Policy or these Terms.
Internal rules may not reduce mandatory consumer rights or create obligations that are incompatible with the service purchased.
4.1 Moderation and reports
The creator must moderate their community, act on the reports they receive and cooperate with the reporting and challenge procedures set out in the Terms of Use.
Triboo may take down content or accounts in a community directly, without depending on the creator, where this is necessary to comply with the law, a court order or the timeframes set by regulation.
5. Administrators and moderators
The creator may appoint administrators and moderators, granting only the permissions needed for the role.
The creator answers for the actions of the people they appoint, including as regards access to, use of and any export of member data, and must revoke permissions as soon as the person leaves the role.
6. Payouts, fees and transfers
In paid communities, the creator is the holder of the charge. Amounts are paid by the member directly into the creator's account or sub-account at the payment provider, which is responsible for settlement, for splitting amounts and for the transfer.
Triboo is not the holder of the charge, does not hold funds and does not act as a payment institution.
Depending on the plan purchased, Triboo receives:
- the platform subscription fee;
- the transaction fee applicable to the plan;
- the information needed to control access and operation.
Applicable conditions:
- Settlement and transfer timeframes: set by Asaas. Under its standard timeframes, funds become available within moments for Pix, on the next business day for boleto, within 3 business days for debit card and within 32 calendar days per instalment for credit card, unless the creator arranges an advance with Asaas. These timeframes may vary by the creator's account and may be changed by Asaas;
- Triboo fees: as set out in the table below;
- Payment provider fees: not included in Triboo's fee, and deducted by Asaas from the amount the creator receives, under its own conditions;
- Reserves, holds and negative balance: applied under the payment provider's rules;
- Currency and provider: charges in Brazilian communities are in Brazilian reais (BRL), processed by Asaas.
Triboo plans and fees in force in this version:
| Plan | Monthly fee | Transaction fee |
|---|---|---|
| Basic | R$ 59.99 | 10% |
| Premium | R$ 249.99 | 6% |
The transaction fee is calculated on the full amount of each payment made by the member, before the Asaas fee.
Amounts, percentages and limits will be stated before the plan is purchased. Price or fee changes will not be applied retroactively to periods already paid for and will be communicated before the next renewal.
Members who don't pay. When a member does not pay a renewal, section 14.1 of the Terms of Use applies: access is kept for 7 (seven) calendar days and, if payment is not completed within that period, the subscription is ended and the pending charge is cancelled. No late fees or interest are charged.
The creator authorizes Triboo to set off amounts they owe it in respect of subscription fees, transaction fees, fraud, processing errors, refunds processed on their behalf or other contractual obligations, including by instructing the payment provider to deduct them from the split of future payments, provided the set-off is evidenced and complies with the law and the applicable commercial conditions.
Non-payment of the Triboo plan. If the creator does not pay their plan's subscription fee, Triboo may deduct the amount owed from the payments received by the community, through the payment split, only up to that amount. If the subscription fee remains unpaid for 30 (thirty) calendar days after the due date, Triboo may close the community, with notice to the creator and to members, and section 17 of these Terms and section 28 of the Terms of Use apply.
7. Withdrawal, refunds and chargebacks
As the supplier of the offer and the holder of the charge, the creator is responsible for returning amounts paid, both in the cases required by law and in those set out in their own policy.
This includes:
- the 7 (seven) calendar day right of withdrawal, counted from the purchase or from the release of access to the content, whichever date is more favourable to the consumer;
- refunds for failure to deliver, failure to honour the offer or a defect in the service;
- chargebacks and reversals processed by the payment provider.
Additional refund period. The creator may, on their own initiative, offer a refund period longer than the statutory one. In that case, they must state it on the offer page before purchase and honour it for each purchase. No period offered may reduce the right of withdrawal provided for by law.
Fees on refunded transactions. The treatment of Triboo's fee and of the payment provider's fees on refunded transactions follows the plan's commercial conditions and the provider's rules.
Timeframes. Refunds arising from withdrawal must be made immediately; other refunds owed, within 5 (five) calendar days of the request.
Triboo provides the request tool, forwards the request to the creator, records its progress and stops future charges. When operating that tool, Triboo confirms receipt of requests to members and notifies the financial institution or card issuer of the exercise of the right of withdrawal, on the creator's behalf, as required by law.
Mandate for refunds. The creator authorizes Triboo to instruct the payment provider, on the creator's behalf, to process refunds, reversals and cancellations of charges in their communities where the creator does not do so on time. Triboo may act from 2 (two) calendar days after the end of the applicable period without action by the creator, or earlier where necessary to comply with the law. This authorization is a condition for operating paid communities and remains in force while there are outstanding obligations to members.
Triboo may step in to protect the member, including by stopping charges, restricting the offer, suspending the community or processing cancellations and refunds, where the creator fails to meet a refund obligation on time, abandons the community or fails to make the agreed delivery.
No community policy may reduce the mandatory consumer rights provided for by law.
8. Taxes and tax documents
Each party is responsible for the taxes and tax documents that fall to it.
The creator is responsible for issuing the tax documents owed to their members, for calculating and paying the taxes levied on their revenue, and for meeting the ancillary tax obligations applicable to their activity.
Triboo issues the tax documents relating to the subscription fee and the transaction fee it charges the creator.
The creator must keep their tax registration valid and provide Triboo with the necessary tax data. Triboo may provide the payment provider and the authorities with the data required by tax law, including for the segregation and collection of consumption taxes, and may suspend the charges of a creator whose tax status is irregular where this is necessary to comply with a legal obligation.
9. Data protection: roles
For the purposes of the Brazilian General Data Protection Law (LGPD):
- Triboo is the controller of the processing needed for the account, authentication, security, platform operation, support, operational communication, product metrics and compliance with legal obligations.
- The creator is an independent controller where they define their own purposes, such as external campaigns, lead capture outside Triboo or authorized reuse of contacts, and from then on answers for those operations.
By accepting these Terms, the creator expressly acknowledges that role and takes on the corresponding obligations under the LGPD.
When a member exercises rights under the LGPD over data the creator processes as a controller, the creator will respond directly, within the legal timeframe, and Triboo will forward to the creator any requests it receives about that data. The parties will cooperate to handle requests from data subjects and from the National Data Protection Authority (ANPD), to the extent of their respective roles.
10. Data protection: permitted use
Within the platform, the creator and their team may use member data only for:
- managing the community and access to it;
- delivering the content, lessons and events purchased;
- support and customer service;
- operational communications about access, charges, confirmed events and changes to delivery;
- promotional communications, only where the corresponding preference is recorded for that community.
The creator must observe the necessity principle: access, consult and export only the data that is indispensable for the concrete purpose.
11. Data protection: prohibitions
The creator, their administrators and their moderators may not:
- sell, rent, assign or license member lists or contact data;
- carry out scraping, automated collection or unauthorized extraction of data;
- send spam or promotional communications without the corresponding preference;
- reuse member data for campaigns, products or purposes incompatible with the one for which it was collected;
- share member data with third parties without an adequate legal basis and authorization;
- publicly expose members' personal data, sensitive data, confidential information or privileged material;
- use one community's data to operate, promote or feed another without its own legal basis.
11.1 Communities on sensitive subjects
In V1, it is not allowed to create or operate a community where taking part, in itself, reveals members' sensitive data — for example, support communities for people with a physical or mental health condition, religious communities, communities centred on a sexual orientation, or communities tied to a political party. Communities on those subjects with an educational or professional purpose, where taking part does not reveal a member's condition, belief, orientation or affiliation, remain allowed. When in doubt, the creator must check with Triboo before creating the community.
Professionals bound by confidentiality, such as healthcare professionals, must observe the rules of their profession and may not provide individual care through the community outside the cases permitted by their professional body.
12. Data protection: security and incidents
The creator must protect their credentials, must not share the account, must apply least privilege when appointing administrators and moderators, and must take equivalent care over any exported data.
The creator must notify Triboo, without undue delay and through the e-mail address info@triboo.net.br, of any security incident involving member data under their responsibility, stating what happened, which data was affected and the measures taken.
Where the incident requires notification to the National Data Protection Authority (ANPD) or to the data subjects, the parties will cooperate to the extent of their respective roles and responsibilities.
13. Member data obtained by the creator
If the creator exports or extracts member data through any feature the platform offers, they become an independent controller of that data and take on the corresponding obligations under the LGPD, including as regards purpose, legal basis and the recorded communication preferences. Marketing preferences given on Triboo do not, by themselves, authorize communications outside the platform.
Full payment data, data on members of other communities and Triboo's internal security logs are not made available to the creator.
14. Content, rights and licence
The creator retains ownership of the content they publish and warrants that they hold the necessary rights and authorizations over texts, images, videos, audio, trademarks, third-party material and the use of people's likeness.
By publishing, the creator grants Triboo the operational licence described in the Terms of Use, limited to what is necessary to host, display within the chosen permissions, automatically translate into other languages, including course content, protect, moderate, back up and operate the platform. That licence does not authorize external advertising use of the creator's content, name, likeness or brand.
Use of the creator's name, likeness, testimonials, screenshots, metrics or success stories in Triboo's promotional material requires specific authorization, a contract or another valid legal basis, and may be withdrawn where legally applicable.
When recording events or live streams, the creator must notify participants before or at the start, make the recording available only to members of the community, and obtain specific authorization for any other use of the participants' likeness or voice.
15. Professional and regulated content
Creators dealing with legal, financial, medical, psychological, technical, aesthetic or other regulated subjects must observe the rules of their professional bodies, the applicable advertising rules, their duties of ethics and confidentiality, and the legal limits of their activity.
Educational content and opinion do not replace individual advice, and the creator must make that clear to members where applicable.
The creator must not publish, or induce the publication of, sealed court record data, third-party confidential information or material whose disclosure is prohibited.
15.1 Prohibited and restricted activities
Triboo may not be used to offer or promote:
- recommendations of investments in securities, trading "signals", management of third-party funds or securities advisory services without the registration or accreditation required by the Brazilian Securities Commission (CVM);
- betting, games of chance, lotteries or casinos, or their promotion;
- draws, raffles, contests or prizes with economic value without the prior authorization required by the law on free prize distribution;
- pyramid schemes, get-rich-quick schemes, promises of guaranteed gains or displays of wealth that mislead about how easy it is to achieve results;
- treatments, cures, medicines, supplements or procedures in breach of health authority rules, or that put members' health at risk;
- regulated professional services provided by someone who is not qualified, or in breach of the rules of the relevant professional body;
- courses or certificates presented as officially recognized when they are not;
- sexually explicit or pornographic content;
- weapons, ammunition, drugs or other illegal goods and services;
- sale or resale of third-party content without authorization;
- fundraising for political parties, candidates or election campaigns, and paid electoral advertising or advertising in breach of electoral law.
Payment provider rules. In paid communities, Asaas's rules also apply, and Asaas reviews and approves each creator's account:
- activities Asaas does not accept may not be offered in paid communities (official list);
- restricted-use activities may only be charged for if the creator meets, on their own account, the conditions Asaas requires (official list).
These lists belong to Asaas, may change and are not exhaustive: Asaas may refuse other activities under its Terms and Conditions of Use. Approval of an account or offer by Asaas does not mean it complies with these Terms, and vice versa.
Triboo may require proof of registration, qualification or authorization, and may refuse, suspend or terminate communities that operate in these activities.
16. Integrations and external assistants
The creator may connect external tools or assistants to their account, within the permissions they already hold on the platform.
The creator is responsible for the actions those integrations perform in their community, for the choice of supplier and for that supplier's use of the data accessed, under the terms of the respective service. Disconnection of an integration may be requested at any time.
17. Closing a community
A creator closing a paid community must:
- notify members with reasonable advance notice;
- stop future charges;
- honour outstanding deliveries, refunds and obligations;
- state the remaining access period, in line with the offer and the commercial conditions.
Triboo may take measures to protect members and process cancellations where the creator abandons the community, fails to deliver or breaks the law.
Once the community or the plan is closed, members keep access to the content they already paid for until the end of the paid period, or receive a pro-rata refund for the unused period, and there will be no new charges.
Once the community is closed, the creator must stop processing exported member data where there is no purpose and legal basis of their own justifying its retention.
18. Suspension and termination of creator access
Triboo may suspend, limit or terminate creator access in the event of a breach of these Terms, of the Terms of Use or of the law, non-payment to Triboo, fraud, abuse, a security risk, repeated failure to deliver, misuse of member data, operating a prohibited activity, a rate of chargebacks or complaints incompatible with normal operation, an irregular tax status that prevents compliance with a legal obligation, or a failure in the payment provider's checks.
Whenever it is possible and safe to do so, the creator will be informed of the measure and its grounds, may provide explanations before or immediately after the measure, and may challenge it under section 10.2 of the Terms of Use.
Suspension does not remove the obligations the creator has already taken on towards their members, including outstanding deliveries and refunds owed.
18.1 Termination without cause and cancellation by the creator
Triboo may terminate this contract without cause, or discontinue the platform, by giving the creator at least 30 (thirty) days' notice.
The creator may cancel their plan at any time, effective at the end of the period already paid for, subject to outstanding obligations to their members and without prejudice to the right of withdrawal where the law grants it.
19. Creator liability
The creator answers, towards their members and towards third parties, for the content they publish, the offer they advertise, the delivery they promise, the use they make of member data and compliance with the tax and regulatory obligations of their activity.
To the extent permitted by applicable law, the creator will indemnify Triboo for proven losses arising from a breach of these Terms, including judgments, settlements, administrative fines and defence costs relating to facts for which the creator is solely responsible.
This clause does not remove Triboo's own liabilities under the law, nor does it apply to situations arising from a failure of the platform itself.
To the extent permitted by law, Triboo's total liability to the creator for damages arising from this contract is limited to the amount the creator paid Triboo in the 12 (twelve) months before the event that gave rise to the damage, excluding lost profits. This limitation does not apply to wilful misconduct, gross negligence, a personal data incident attributable to Triboo, or cases in which the law does not allow liability to be limited.
20. Changes to these Terms
Triboo may update these Terms. Material changes, such as fees, the payout model, liability, data processing or a relevant reduction of a purchased condition, will be communicated before they take effect, and fresh acceptance may be requested where necessary. A creator who does not agree with a material change may terminate this contract before it takes effect, without penalty, subject to outstanding obligations to their members.
21. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the district of Foz do Iguaçu/PR are elected, save where a mandatory rule provides otherwise.
21.1 General provisions
- Notices: Triboo's communications to the creator are sent to the registered e-mail and displayed on the platform. Between the parties, a communication sent to the registered e-mail is deemed received, and the creator is responsible for keeping it up to date and accessible.
- Severability: if any provision of these Terms is held invalid, the remaining provisions stay in force.
- No waiver: not enforcing an obligation does not mean waiving the right to enforce it later.
- Survival: the provisions on refunds, chargebacks, set-off, data protection, liability and jurisdiction continue to apply after this contract ends, for as long as obligations remain outstanding.
